Jerita Dimaio is a corporate and transactional attorney who advises clients in mergers, acquisitions and divestitures, negotiations of commercial contract and corporate governance matters across diverse industries. Jerita has extensive experience as lead counsel in M&A transactions, guiding and advising clients through every phase of complex sales and acquisitions. Jerita also manages commercial contract portfolios for clients, providing strategic advice on risk allocation issues such as indemnification, representations and warranties and liability limitations.

She is regularly involved in structuring, negotiating, and closing asset and equity sales and acquisitions, along with mergers, joint ventures, and other strategic and complex transactions. This focus includes the negotiation of documents related to acquisitions, mergers, joint ventures and strategic alliances, business succession planning, corporate structure, corporate governance and commercial contract matters.

Jerita represents a wide range of clients spanning various industries, including those in the aerospace and defense, television, radio and other media, technology, professional services, financial services, and nonprofit sectors.

 

What advice would you offer to new attorneys interested in your field?

Your abilities have brought you this far – remain confident in that. Continue to hone your talents by taking advantage of the breadth of training resources that are available to you, not only within your organization, but otherwise. There is no need to reinvent yourself. Instead, focus on improving upon what has made you successful up to this point. Finally, utilize those in and outside of your network who have walked in your shoes before. Several attorneys are willing (and delighted) to mentor junior attorneys. Don’t be afraid to ask!
