Description of field of expertise

Guillaume Saliah is a partner in Fasken’s Montreal Business Law Group, focusing his practice on mergers & acquisitions, capital markets and securities law. As a central player in large-scale mandates, he skillfully leads teams through highly complex negotiations and transactions, having acted for some of the Firm’s major recently concluded mandates involving Fiera Capital, Coveo, CGI and Nuvei.

Guillaume focuses on national and cross-border transactions such as purchases, sales, mergers and restructurings transactions, negotiated in both the public and private markets. He advises both private and institutional investors and represents issuers and brokers in relation to equity financings, by way of prospectus or private placements.

With expertise in matters relating to corporate governance, Guillaume supports publicly-traded companies with regards to corporate and securities matters, including compliance with continuous disclosure obligations, proxy solicitation for shareholder meetings, the launch of share buyback programs and the implementation of securities-based compensation arrangements, and assisting them in their interactions with stock exchanges and securities regulators. 

Guillaume works with clients from a variety of industries, including clients from the natural resources, technologies, energy, transportation, manufacturing and services sectors. He support clients throughout the transaction process, including during due diligence and the drafting and review of commercial agreements and the coordination of closings. He also provides regulatory advice on all issues related to the Charter of the French Language.

Having joined Fasken in 2012, Guillaume was admitted to the partnership in 2023. An active member of the firm and strong believer that recruiting the best young talent is key to continued organizational success, he currently Co-Leads Fasken’s Recruitment committee in Montreal. Recognized by his peers for his expertise in Corporate Law, M&A and Securities Law, Guillaume has been named as a “ones to watch” lawyer in 2022 by The Best Lawyers in Canada.

 

What advice would you offer to new attorneys interested in your field?

The experiences you gain as a young professional will be the building blocks for your future career. Every assignment – whether highly complex or seemingly straightforward – is a chance to hone your skills, refine your practice and become a better lawyer.

Seek to perform a wide variety of tasks, get familiar with different industries, and collaborate with senior lawyers who are experts in their field to solidify your foundations. Embrace challenges that come your way and demonstrate willingness to learn.

By being genuinely curious and taking an interest in others, you will develop a network of trusted mentors, connect with inspiring people from all walks of life and be presented with unparalleled opportunities.
